Senior Counsel, Securities and Corporate Governance


This is a Full-time position in New York, NY posted November 19, 2021.

Job Description:
FactSet is seeking an attorney with corporate governance and securities law experience.

Responsibilities will cover a variety of matters, including participation in 10-K, 10-Q, 8-K and Section 16 filings, proxy statements, and other SEC filings, as well as governance issues related to management and the board of directors and its committees.

The position will also involve substantial engagement with corporate ESG (environmental, social and governance) initiatives.

Reporting to the Senior Vice President, Assistant General Counsel, the ideal candidate should be able to perform in a hybrid work environment and be located near a U.S.

FactSet office.


  • Assist with preparing and reviewing SEC filings, including 10-K, 10-Q, 8-K and Section 16 filings, proxy statements, and other SEC filings.
  • Undertake necessary securities law research and provide appropriate guidance.
  • Provide support for the Company’s Board of Directors and annual shareholders meetings, including preparing and reviewing materials for the Board of Directors and its committees and the Company’s proxy statement.
  • Prepare company documents, such as minutes, consents, resolutions, certificates, charters and policies.
  • Actively engage and collaborate across departments and functions to help develop, establish and implement corporate ESG initiatives, including establishing appropriate frameworks, standards and goals and monitoring compliance.
  • Support global corporate initiatives.
  • Assist with coverage of general corporate and commercial matters as the need arises.

Desired Skills & Experience:

  • Undergraduate and J.D.

    degrees from recognized institutions; top academic credentials required

  • Member in good standing of the bar in the applicable jurisdiction.
  • Prior law firm or in-house experience required.
  • Three to five years of experience, principally in corporate and federal securities laws applicable to a public company.

    ESG experience a plus.

  • Sufficient experience to handle responsibilities with a minimum of supervision.
  • Ability to organize, plan, coordinate and implement large and ongoing projects and the ability to work independently and as part of a team.
  • Ability to manage multiple projects simultaneously while prioritizing responsibilities and meeting deadlines.
  • Excellent written and oral communications skills, the flexibility and ability to work in a fast-paced environment, and tenacity to pursue clarification through legal research, with keen attention to detail.
  • Good judgment, a high level of professional integrity, and the discretion, tact, and ability to maintain confidentiality.
  • Work collaboratively with fellow employees, maintaining high levels of customer service and treating all clients with dignity and respect at all times.
  • Ability to perform in a manner consistent with the Company’s goals and culture.

The budgeted amount range for this position in the State of Connecticut is $128,000
– $160,000.
